Articles of Association

All companies have to have articles of association. They are a contract between the company and its shareholders and deal with a number of matters including how shares are transferred and how meetings are held. They should always reflect the intentions of the shareholders as failure to follow the rules set out in the articles can lead to making unenforceable decisions.
